Holy Grail Partner Program Terms and Conditions

1. Eligibility

To participate in the Holy Grail Partner Program, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms.
• Maintain and actively use at least one personal public social media account on platforms such as Instagram, TikTok, YouTube, or Facebook.
• Be in good standing with the Federal Trade Commission ("FTC") or the equivalent regulatory body in your jurisdiction.
• Not be a party to any agreement or subject to any law that restricts your performance of your obligations under these Terms; and
• Comply with all applicable laws, including FTC disclosure guidelines.

Holy Grail reserves the unconditional right to review, deny, suspend, or terminate your application or Partner account at any time, for any reason, in its sole discretion.

2. Enrollment, Account & Platform

The Program is managed and tracked via our third-party platform, Social Snowball. Upon approval, you will receive access to your Social Snowball dashboard where you can view your referral link, personalized discount code, rates, and payout setup.

You are responsible for keeping your Social Snowball login credentials secure and for any activity that occurs under your account. You must complete your payout setup (including providing any necessary tax or banking information) within the Social Snowball dashboard to receive commissions.

3. Affiliate Links, Discount Codes & Tracking

Upon approval, you will be provided with a unique referral link (e.g., getyourholygrail.com/discount/YOUR_CODE) and a personalized discount code.

Tracking: Commissions are tracked only when a customer clicks your unique link or enters your personalized discount code at checkout. Holy Grail is not responsible for tracking failures caused by user error, browser settings, ad blockers, or technical issues outside of our control.

Discount Code Usage: Your discount code provides your audience with a 10% discount on their first order. Personalized codes are subject to availability and may be changed as your dashboard reflects. If you change your code, the old code will immediately stop tracking sales; it is your responsibility to update your links across all your platforms.

4. Commissions & Qualifying Sales

Standard Commissions: You will earn a ten percent (10%) commission on the net sales amount of every Qualifying Sale made through your referral link or discount code.

Qualifying Sale: A Qualifying Sale is defined as:

• (a) a first-time order placed by a new customer on the Holy Grail website that is correctly tracked to your link or code; and
• (b) each subsequent subscription renewal ("rebill") order placed by that same referred customer, for as long as recurring commissions remain in effect under these Terms.

A Qualifying Sale does not include:

• Purchases made by you, your employees, or members of your household (self-dealing).
• Orders that are canceled, refunded, or charged back.
• Orders generated through unauthorized coupon-aggregation sites, spam, bot traffic, or fraudulent activity.
• Shipping fees, taxes, or other non-product charges.

Recurring Commissions: For referred customers who purchase a subscription, you will also earn the applicable commission on qualifying subscription renewal (rebill) orders. Recurring commissions are a current feature of the Program and are not guaranteed in perpetuity. Holy Grail reserves the right to modify, reduce, or discontinue recurring commissions at any time on a prospective basis, as described in Section 16.

Holy Grail reserves the right to modify commission rates, eligible products, or qualification rules at any time. Changes will be reflected in your dashboard or communicated via email and will apply prospectively.

5. Payment Terms

Minimum Threshold: Commissions will only be paid once your approved account balance reaches a minimum of $50 USD. Balances under $50 USD will roll over to the following month and do not reset.

Commission Hold: All commissions are subject to a thirty-five (35) day hold period from the date of the Qualifying Sale to account for our refund and return window.

Payout Schedule: Approved commissions that have cleared the 35-day hold are paid monthly, typically processed at the end of each calendar month and disbursed in the following weeks. (For example, a sale made in early January will clear its hold in February and be paid out in the following monthly cycle.)

Currency & Methods: All payouts are calculated and issued in US Dollars (USD). Payouts are issued through the payout provider configured in your Social Snowball dashboard. Currency conversion fees or foreign exchange rates are handled by your payment provider.

Taxes: You are an independent contractor. You are solely responsible for reporting and paying any and all applicable local, state, and federal taxes on commissions earned.

6. Rewards & Free Product

The Holy Grail Partner Program is primarily a performance-based commission program. Any free product, gifts, or performance rewards are offered at Holy Grail's discretion, earned through engagement and sales milestones, and are not guaranteed upon signup.

All physical rewards are subject to availability, shipping restrictions, and Holy Grail's verification. Holy Grail reserves the right to substitute rewards or modify any reward or tier structure at any time.

7. Content Standards & Promotional Conduct

You agree to use your best efforts to market and promote Holy Grail products in a positive, truthful, and sincere manner. Any content, posts, photos, videos, or written material you create promoting Holy Grail ("Content") must adhere to the following standards:

• Truthful & Authentic: Content must reflect your genuine experience and opinion.
• No Unsubstantiated Claims: You must not make any health, medical, or structure/function claims about Holy Grail products that are not explicitly approved by Holy Grail or found on our official website.
• DSHEA Compliance: You must strictly comply with the Dietary Supplement Health and Education Act of 1994 (DSHEA). You may not claim that Holy Grail products diagnose, treat, cure, or prevent any disease.
• Professionalism: You must not engage in conduct that brings Holy Grail into public disrepute, contempt, scandal, or ridicule. Your Content must not contain unlawful, hateful, or objectionable material.

8. FTC Disclosure Requirements

You must clearly and conspicuously disclose your "material connection" to Holy Grail whenever you post Content where you could earn a commission, in strict compliance with the FTC's Guides Concerning the Use of Endorsements and Testimonials in Advertising.

Disclosures must be prominent (e.g., #ad, #sponsored, #HolyGrailPartner, or a clear verbal disclosure in video content) and placed before the audience engages with the promotional link or code.

Hiding disclosures in a sea of hashtags or placing them where users must click "Read More" is prohibited.

Holy Grail monitors Partner accounts and reserves the right to withhold commissions or terminate your account for failure to properly disclose your affiliate relationship.

9. Prohibited Practices

Engaging in any of the following activities is a material breach of these Terms and will result in immediate termination of your account and forfeiture of all pending commissions:

• Posting your discount code or referral link on coupon, discount, or deal-aggregation websites (e.g., RetailMeNot, Honey).
• Using deceptive, automated, or manipulative traffic-generation methods (e.g., bots, click farms, spam).
• Bidding on Holy Grail trademarked or brand terms (e.g., "Holy Grail," "Holy Grail Partner," "getyourholygrail") in paid search advertising (e.g., Google Ads).
• Creating websites, social media handles, or domains that copy, resemble, or imply an official affiliation with Holy Grail.
• Sending unsolicited commercial emails (spam) promoting Holy Grail.
• Reselling Holy Grail products or purchasing products using another person's payment method without authorization.

10. Intellectual Property & Licenses

Holy Grail's Intellectual Property: Holy Grail grants you a non-exclusive, non-transferable, revocable, limited license to use Holy Grail's trade names, logos, trademarks, and approved marketing materials solely for the purpose of promoting the products as authorized under these Terms. You acknowledge Holy Grail's exclusive ownership of all such intellectual property.

License to Your Content: By participating in the Program, you grant Holy Grail a limited, non-exclusive, worldwide, royalty-free, irrevocable license to repost, share, and utilize your Content on Holy Grail's owned and operated channels (including our website, social media, and email marketing) for organic promotional purposes. This includes the right to use your name, likeness, handle, and voice as contained in the Content.

11. Confidentiality

During your participation in the Program, you may receive access to non-public information, including upcoming product launches, marketing strategies, commission structures, or private communications ("Confidential Information"). You agree to hold all Confidential Information in strict confidence and not disclose it to any third party without Holy Grail's prior written consent.

12. Independent Contractor Status

Your relationship with Holy Grail is that of an independent contractor. Nothing in these Terms creates an employment, partnership, agency, or joint-venture relationship between you and Holy Grail. You have no authority to bind Holy Grail to any obligation. You are solely responsible for your own expenses, equipment, and taxes arising from your performance under these Terms.

13. Indemnification

You agree to defend, indemnify, and hold harmless Holy Grail Marketing US LLC, its parent entities, affiliates, directors, officers, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your Content or any conduct; (b) your violation of any law, regulation, or FTC guideline; (c) your breach of any representation, warranty, or obligation in these Terms; or (d) any actual or alleged infringement of third-party rights by your Content.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HOLY GRAIL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE, PROFITS, OR DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR THE PROGRAM. HOLY GRAIL'S CUMULATIVE LIABILITY TO YOU UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Holy Grail makes no express or implied warranties regarding the Program, the Social Snowball platform, or the products, and disclaims all warranties of merchantability and fitness for a particular purpose.

15. Term & Termination

Term: These Terms apply as long as you participate in the Program.

Termination by You: You may terminate your participation at any time by providing written notice to Holy Grail.

Termination by Holy Grail: Holy Grail may suspend or terminate your account and participation in the Program at any time, with or without cause, immediately upon notice.

Effect of Termination: Upon termination, you must immediately remove all Holy Grail links, codes, and promotional Content. Holy Grail will pay out any legitimately earned commissions that have cleared the hold period prior to termination, provided you have not breached these Terms. Commissions earned through fraudulent or prohibited activity will be forfeited. Upon termination, your eligibility to earn further commissions, including any recurring commissions, ceases.

16. Modifications to the Terms

Holy Grail reserves the right to modify these Terms, the commission structure, or any reward tiers at any time, including modifying, reducing, or discontinuing recurring/subscription commissions.

Any change to the commission structure will apply prospectively to Qualifying Sales occurring on or after the effective date of the change, and will not reduce commissions already earned and cleared prior to that date. Holy Grail may, in its sole discretion, elect to continue recurring commissions for Partners enrolled prior to such a change.

Changes will be posted in your dashboard or communicated via email. Your continued participation in the Program following any modifications constitutes your acceptance of the new terms. If you do not agree to the changes, your sole recourse is to terminate your participation.

17. Governing Law & Dispute Resolution

Governing Law: All matters arising out of or relating to these Terms are governed by the internal laws of the State of Wyoming, without regard to its conflict of law provisions.

Binding Arbitration: ANY CLAIM, DISPUTE, OR CONTROVERSY BETWEEN YOU AND HOLY GRAIL ARISING FROM OR RELATING IN ANY WAY TO THESE TERMS WILL BE RESOLVED EXCLUSIVELY AND FINALLY BY BINDING ARBITRATION administered by the American Arbitration Association (AAA) in accordance with its applicable rules.

Class Action Waiver: YOU AND HOLY GRAIL AGREE THAT PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to a jury trial.
